1. About These Terms

1.1 These Terms govern your access to and use of the Modular Learning Platform (the "Platform") as an individual learner. By creating an account or accessing any module, you agree to be bound by these Terms.

1.2 You must be aged 18 or over to use the Platform.

1.3 We may update these Terms at any time. Continued use of the Platform following any update constitutes acceptance of the updated Terms.


2. What You Are Buying

2.1 When you purchase a module, you are paying for one-time access for one named individual to view the module content and complete the post-module assessment. It is a straightforward purchase - you pay, you get access, you complete the module, you receive a certificate.

2.2 Your purchase does not include:

  • Repeat access to the same module after completion (a new purchase is required)
  • Access to any other modules not purchased
  • Any certification, accreditation, or qualification recognised by any regulatory body
  • Any part credit towards a qualification, or any credit recognised by an awarding body or regulator
  • Any guarantee that completing a module satisfies any specific regulatory, legal, or employment obligation

2.3 MLL is not a qualification-awarding body. Certificates of completion issued by MLL evidence that the named learner has viewed the course content and demonstrated comprehension in a post-module assessment. They do not confer, and should not be represented as conferring, any academic or vocational qualification or credit.

2.4 Module access is personal to you and may not be transferred, shared, or used by any other person.

2.5 Access period. The period during which you can access a purchased module is stated at checkout. When this period expires, your access to that module is revoked automatically. No refund is issued for modules that expire before you complete them, regardless of the reason. The access period begins at the point of purchase and cannot be paused or extended except at MLL's sole discretion.

2.6 Similar modules across courses. The Platform offers multiple courses, and modules in different courses may share the same or similar names, titles, or subject matter - in some cases their content may be identical or substantially overlapping. Each purchase relates to a specific module within a specific course only. Purchasing or completing a module does not grant access to, or credit for, a similarly named or similarly themed module in a different course, even where the content is the same or very similar. Please check the course and module details carefully before purchasing - purchases are made at your own risk and all sales are final (see clause 3.4).


3. Payment

3.1 All payments are processed by a third-party payment provider (Stripe). MLL does not store your payment card details.

3.2 Prices are as displayed on the Platform at the time of purchase.

3.3 Modular Learning Ltd is not currently registered for VAT. Prices shown are the total amount payable. No VAT is charged and no VAT invoice will be issued. We will notify you if our VAT status changes.

3.4 All sales are final. Module access is digital content. By completing your purchase, you expressly request that access begins immediately and acknowledge that you will thereby lose your right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Purchases cannot be cancelled or refunded once access has begun. No refund is issued for modules that expire before you complete them. If you experience a technical fault preventing access, please contact us promptly and we will investigate.

3.5 In the event of a dispute regarding payment, please contact us before initiating any chargeback with your payment provider.


4. Compliance Disclaimer - Important

4.1 MLL provides training content only. We do not provide legal advice, regulatory advice, or compliance consultancy.

4.2 Completing a module does not guarantee that you have met any specific regulatory, licensing, or employment requirement. Whether any particular module or combination of modules satisfies a compliance obligation applicable to you or your employer is entirely a matter for you and your employer to determine.

4.3 Role-to-module mappings and recommendations displayed on the Platform are indicative guides only. Every individual's role and responsibilities are unique. MLL accepts no responsibility for any determination that a particular module is or is not appropriate for your specific circumstances.

4.4 You and your employer bear sole responsibility for ensuring that the training you undertake is appropriate for your role, your employer's regulatory obligations, and any requirements imposed by a licensing authority.


5. Certificates

5.1 When you pass a module assessment, a certificate of completion is issued. This certificate records that you completed the specified module on the stated date. It is a record of training completion - nothing more.

5.2 Certificate validity, where it applies, derives from rules or guidance from relevant regulatory bodies. Where such bodies change their rules or guidance, certificate validity settings may be adjusted without notice. The certificate remains a permanent record that training was completed on a particular date regardless of any such changes.

5.3 Certificates are recorded at the time of completion. Access to certificates through your account may vary depending on your completion history.

5.4 Certificate sharing. Certificates are private by default and accessible only through your account. If you choose to generate a shareable link - for example, to post on LinkedIn or send to a third party - you explicitly consent to making that certificate publicly accessible via that link. Anyone who obtains the link will be able to view the certificate, which may include your full name, completion date, course details, and other associated data.

By sharing a certificate, you acknowledge that:

  • MLL acts only as a technical host. We do not publish your certificates.
  • Once shared, the certificate may be viewed, copied, downloaded, shared further, or indexed by search engines or third parties. We have limited or no control over such further dissemination.
  • Copies may continue to exist on the internet even after you revoke or disable the shareable link - for example through screenshots, caches, or reposts by others.
  • It is your responsibility to understand the privacy implications of sharing personal information publicly.

We may provide tools to manage shareable links (such as the ability to disable or revoke them), but we do not guarantee removal of all copies or references from the internet or third-party platforms.


6. Intellectual Property

6.1 All content on the Platform - including module text, slides, quiz questions, graphics, and structure - is the intellectual property of MLL or its licensors and is protected by copyright.

6.2 You may not reproduce, distribute, share, screen-record, copy, adapt, or create derivative works from any module content, in whole or in part, without our prior written consent.

6.3 Your purchase gives you the right to view and interact with the module content for your own personal learning purposes only. No other use is permitted.


7. Your Data

7.1 By using the Platform, you agree that MLL may collect, store, and use data relating to your account and your use of the Platform, including completion status, quiz scores, and usage patterns.

7.2 MLL may use this data for any purpose we consider appropriate, including but not limited to: delivering the service, improving content, product development, internal analytics, benchmarking, and commercial purposes. Anonymised or aggregated data may be used and shared without restriction.

7.3 Completion records, quiz scores, and certificate details may be visible to your employer if you are linked to an employer account on the Platform. You may sever the link with your employer's account at any time via your account settings. Severing the link does not delete historical records already visible to your employer from the period the link was active.

7.4 Data retention: We retain training and account records indefinitely. Records are not routinely deleted as they may be required for regulatory inspection at any point.

7.5 Records availability and your backup obligations: We cannot guarantee uninterrupted or indefinite availability of records due to circumstances including but not limited to system failures, data loss events, or business discontinuity. Your certificates and training records are important - you should save copies of your certificates and keep your own record of your training history as you would for any other important personal or professional document. MLL is not liable for any loss or damage arising from any loss of, or inability to access, records held on the Platform.

7.6 Your data subject rights under UK data protection law - including rights of access, rectification, and erasure - are not affected by these Terms. You may exercise your right to erasure in respect of personal data where no overriding legal or regulatory obligation requires retention. Contact customer support. Please refer to our Privacy Notice for how we handle such requests.

7.7 Our Privacy Notice explains how MLL collects, uses, and stores personal data at the Platform level.


8. Acceptable Use

8.1 Permitted purpose. Access to a purchased module is granted solely to enable you - the named individual who made the purchase - to complete that training for your own personal development and compliance purposes. No other use is permitted.

8.2 You agree not to:

  • Share your login credentials with any other person
  • Allow any other person to view, access, or interact with module content through your account
  • Complete training on behalf of another person or allow another person to complete training using your account
  • Attempt to access modules you have not purchased
  • Use module content for any commercial purpose, including but not limited to delivering training to others, incorporating content into your own materials, or reselling access
  • Use automated tools, scripts, or bots to interact with the Platform
  • Attempt to circumvent quiz mechanisms or obtain pass certificates fraudulently
  • Upload, transmit, or introduce any malicious code or content

8.3 Consequences of misuse. Breach of clause 8.1 or 8.2 will result in the immediate revocation of access to all modules purchased under your account, without refund. MLL reserves the right to also terminate your account and bar future registration. These consequences apply whether the breach was intentional or negligent.


9. Limitation of Liability

9.1 To the fullest extent permitted by law, MLL's total liability to you in connection with these Terms or your use of the Platform shall not exceed the amount you paid for the specific module giving rise to the claim.

9.2 MLL is not liable for any indirect, consequential, or economic loss, including loss of earnings, regulatory fines, licensing action, reputational damage, or any loss arising from reliance on module content for compliance purposes.

9.3 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.


10. Assignment

10.1 MLL may assign, transfer, or novate these Terms, in whole or in part, to any successor business, purchaser of assets, or entity resulting from a merger, restructuring, or reorganisation, without prior notice to you. Your rights under these Terms are personal to you and may not be assigned or transferred to any other person.


11. Severability

11.1 If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the remainder of these Terms, which shall continue in full force and effect.


12. Governing Law and Disputes

12.1 These Terms are governed by the laws of England and Wales.

12.2 Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12.3 Before commencing legal proceedings, we ask that you contact us in good faith to attempt to resolve any dispute informally.
